I bought this 1971 about two months ago. The clutch was grinding when I bought it (from 2nd to 3rd) Ordered a new clutch kit and left it with my mechanic . Mechanic got ready to install the new one and noticed that the existing “clutch” looked brand new ? Like no signs of wear. Could it have somehow been installed the wrong way ? I guess we will go ahead and install the new one and see what happens

If it is a "clutch" problem it would be every gear, not just 2nd to 3rd. If you're having issues 2nd and 3rd its most likely (99.999%) the trany.

It grinds going into first gear. The pedal seems fine.
3 finger or diaphragm ??? I don’t know anything about these 40s
It drives fine .... would/could it still be the transmission ?

As I recall when I had my 3-speed, first gear is not synchronized.

I think the patient needs more 'detailed' questions to discern the issue.
1. Engine running, 3 speed transmission in neutral (the cross bar on the "H" pattern). Clutch pedal released. No grinding.
2. Clutch pedal depressed. Shift from neutral to 1st. Transmission grinds. release clutch pedal. drive away in 1st gear.
3. Driving in 1st gear. depress clutch and shift to 2nd gear, no grinding, release clutch. drive away in 2nd gear.
4. Driving in 2nd gear, depress clutch and shift to 3rd gear, transmission grinds. release clutch, drive away in 3rd gear.
BONUS SECTION:
5. Driving in 3rd gear, depress clutch and downshift to 2nd gear, does transmission grind?. release clutch, drive in 2nd gear.
6. Driving in 2nd gear, depress clutch and shift to 1st gear, TRANSMISSION GRINDS LIKE HELL! Normal, no synchro into 1st gear!
EXTRA BONUS SECTION:
7. Engine running, transmission in neutral. Depress clutch. Shift into 1st gear. Grinds? With clutch still depressed shift back to neutral, then to 2nd gear. Grinds? With clutch still depressed, shift to neutral, then to 3rd. Grinds? With clutch still depressed, shift to neutral, then shift to reverse. Grinds?
Please correct the above scenarios to reflect what you are actually experiencing.

Yes!!
Its easy enough to tell if your clutch is releasing. You need a second person to help. Jack up the 40 with rear axle off the ground. With the engine off, place the transmission in any gear. If you are locked in the rear try to turn either tire, they should be impossible to turn (make sure e-brake is off). If you are not locked then you need to try and turn the driveshaft. While trying to turn the rear driveshaft depress the clutch pedal. It should immediately release the driveshaft once the pedal is fully depressed. If it doesn't, you have a clutch issue. If it does, you have a trany issue. It could be syncros or frozen pilot or something else entirely but if you are dealing with a three speed I would just replace it. They are cheap and not all that hard to find. Most people who are not concerned with purity have already gone to a 4 or 5 speed.
Check your thrust bearing, Mine was shot. Would grind gears and difficult to change gear.. My clutch was good but the bearing was dry and stuffed...
Dose it grind in reverse? These 3 speeds are easy to rebuild and the kits are not all that expensive new syncros are about $30.00 each.
A non-synchronized 1st and reverse gear needs you need to be TOTALLY STOPPED before you attempt to shift into the gear. If not, it's going to grind, badly. If you have a 3 speed transmission, it's not synchronized, simple as that
