it will fit....should have lots of room, those frame rails stick out a fair ways
 
Thanks. I know it's a rookie question but wanted to make sure. I have seen so many loyal Warn people on the site that it makes me nervous about going astray with another brand. They cost so darn much! I saw the promark (gorilla). It looks like a good unit but doesn't have the following like Warn.
 
well, they are expensive but if you look around the can be had for under $600 USD, my brother in law is looking into them and i came across this:

while looking to confirm the dia. of cable i needed for my dads 8274 that we picked up used for $200 CAN so...they are out there, you just have to look in the right places and be patient, also something you might want to consider is if you have sag P/S which takes up a bit of space between the frame rails, that might change winch options on you, i will be running a 8274 on my FJ40 with sag, havnt gotten everything finished yet however it DOES fit. i have not tried a m8000 with the same setup though. food for thought, not sure what steering set up you are running.

personally i would stick with warn, im up in canada and superwinch and mile marker are not really big up here but i stay far far away from the costco winches and the like....but have heard good thigns about mile marker and superwinch from some members of the board, might be pretty alright

Thanks for the link. I saw the same one on Christmas Eve.. That is a good deal! What is really need the winch for is pulling my boat lift out of the water in the fall. I'm probably way overkill but for another couple of hundred bucks I won't be limited down the line.
 
here is a couple pictures, the first one is mine and not the best pic but all i had. and the second one is just one i had saved and it shows some of the room you have. one thing you may have to purchase or make is a winch plate to mount it. i got mine from CCOT ( http://coolfj40.stores.yahoo.net/winmounchan.html ) and i run Saginaw power steering with no problems and yeah if you look around you can find them used. i paid $200.00 for mine at a garage sale.
