I just noticed today that my stock 3 speed is starting to grind more and more when downshifting from 3rd to 2nd. It used to work fine and any speed, but I need to be going much slower now to get it to downshift without any grinding. I am assuming that the synchro is worn.

I have no desire to really fix this tranny as I am getting things together for a SM420 replacement. As long as I can live with the slight grinding is there any reason that I should be concerned about this?

assuming the clutch adjustment and shift linkage is all ok: you probably have a syncro that has gone by by. I'm assuming you no longer have the colum shifter. because that would wear out, bind and cause the shifting problem you describe. Clutch  out of adjustment will cause that symptom as well. It might be time to learn how to double clutch. If you've ever driven an old land rover you will know how it is. 1st and 2nd gear in old land rovers were unsyncronized.
