What would be the harm in just laying the dampner over the tar areas? Isn't the dampener a tar material itself? Or, does the dampener have to have close contact with the metal to work?

I think it would make it uneven in some spots. I'm thinking of removing all of the felt and tar like material and putting in some sound deadener in it's place and I assume you'd want as flat and even a surface as possible.
I took all the carpet to the car wash and pressure sprayed a it all. Used a scraper to get most of the jute backing off. Left the thick stuff on the floor of the truck. Sprayed a sound deadener/rust proofing product on all the metal up to the windows. It's sort of like bedliner but different. Then for insulation I put down 2 layers of closed cell foam that is used when insulating metal buildings. Very quiet. And the closed cell foam won't hold water. And the spray-in product keeps water off the bare metal. Have been very happy with it after 2 years.
I get it from local grocery stores here on the left coast. Now that it's nearing Halloween, some may be found in costume shop (they use it for making eery 'fog')
