For undercoating, a flat black spray does work.

Personally, I'd look at Spectrum. (Spectrum - Acoutic Sound Deadener Coating Material) The price is a bit spendier, but it'll do a very good job at reducing noise and vibrations.

If all you want is rust proofing, though...just get Rustoleum semi-gloss black, and spray the crap out of it.
